The terms that govern your use of the Healacle website and the resources we make available through it.

These Terms & Conditions ("Terms") govern your access to and use of healacle.com, related Healacle web properties, and any content, research, or resources made available through them (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important — scope of these Terms

These Terms govern the public Healacle website. They do not govern the relationship between Healacle and its customers or partners. Use of the Healacle platform itself is governed by a separate Master Services Agreement, Business Associate Agreement, and any applicable order forms or addenda executed between Healacle and the customer.

1. Eligibility

The Site is intended for business and professional users who are at least 18 years old. By using the Site, you represent that you meet these requirements and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Site and all of its content — including but not limited to text, graphics, logos, icons, images, audio, video, software, research reports, frameworks, methodologies, terminology, and the selection and arrangement of all of the foregoing — are owned by Healacle or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

"Healacle," the Healacle logo, the term "Margin Recovery" as used in the context of healthcare revenue cycle management, and other Healacle product and service names are trademarks of Healacle, Inc. You may not use these marks without Healacle's prior written permission.

All rights not expressly granted in these Terms are reserved by Healacle.

5. User submissions and feedback

If you submit any content to Healacle through the Site — including demo requests, feedback, suggestions, or other communications — you grant Healacle a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, and otherwise exploit that content for any purpose, including improving Healacle's products and services, without any obligation to you.

You represent that you have all rights necessary to make any submission you provide, and that your submission does not infringe the rights of any third party.

The Site may include content from third parties or links to third-party websites or resources. Healacle does not endorse, control, or accept responsibility for the content or practices of any third party. Your interactions with third parties are solely between you and that third party.

7. Privacy

Our Privacy Policy describes how we collect, use, and share personal information in connection with the Site. By using the Site, you acknowledge that information will be handled in accordance with that Privacy Policy.

8. Disclaimers

The Site and all content on it are provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Healacle disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, Healacle does not warrant that the Site will be uninterrupted, secure, or error-free; that any information on the Site is accurate, complete, or current; or that any content downloaded from the Site is free of viruses or other harmful components.

The information published on the Site — including research, analysis, statistics, and commentary — is provided for general informational purposes only. It is not legal, financial, accounting, tax, medical, regulatory, or other professional advice and should not be relied on as a substitute for advice from a qualified professional. Healthcare revenue cycle decisions, compliance decisions, and operational decisions should be made in consultation with qualified advisors familiar with your specific circumstances.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Healacle, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including damages for lost profits, lost revenue, lost data, business interruption, or loss of goodwill — arising out of or relating to your use of, or inability to use, the Site, even if Healacle has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Healacle's total cumulative liability arising out of or relating to these Terms or your use of the Site will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the exclusions and limitations above will apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Healacle and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Site; (b) your breach of these Terms; or (c) your violation of any law or the rights of any third party.

11. Termination

Healacle may suspend or terminate your access to the Site at any time, for any reason or no reason, without notice or liability. The provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

13. Changes to the Site and to these Terms

Healacle may modify, suspend, or discontinue all or part of the Site at any time, with or without notice. Healacle may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice. Your continued use of the Site after a revised version is posted constitutes acceptance of the revised Terms.
